More Deception & Failures of Trust?

Once again, Berman’s Bog attempts to deceive and distort and cause undue confusion and strife among SCA residents. Berman said in part:   “What could be more obvious than -if Carl Weinstein is correct- a package from Chef Neal which incorporates all the elements of Bob Frank’s presentation at the recent Trumpets workshops? How is it that this information was fed to Chef Neal, and do you really think that constitutes playing fair?”

What a sad reflection of Berman’s nastiness and disruptive behavior!  Those who attended the Trumpets Workshop (including both of the Bermans and Weinstein) know that my proposed terms and conditions were mounted by Anthem Voice on its website and sent by public email to AV subscribers the night BEFORE the workshop. Chef Neal asked me AFTER the workshop for copies of my slides, and I referred him to the AV site. Carl should have done the same for the other interested companies or at least provided the contact info so I could forward the comments to other interested parties on an equal basis.

When I received Chef Neal’s proposal, I noticed that my words and formats had been SIGNIFICANTLY modified, and much more info was added. Sure, many of my board member words were copied when it fit Chef Neal’s purposes; but, so what? That is a standard/smart business practice. And, as Rana stated, this is a period of NEGOTIATION. Only a VERY foolish business would include its best and final proposed terms and conditions in its first proposed approach.

Finally, Chef Neal explained to me that his minimum risk approach for that special proposal was based on my stated desire (in the workshop) to test the feasibility of a members-only operation. He believes he should not have to bear the brunt of any short-term losses while a members-only policy is tested. Of course, he was open to a counter-proposal on terms if the board majority was also interested in a members-only policy. But, since that approach was not approved at the last board meeting, Chef Neal said that different financial terms will be suggested in his next proposal.

Notwithstanding all of that, the community should have GREAT concern over Shirley Cheri’s, Carl Weinstein’s and Roz Berman’s ILLEGAL disclosure of Chef Neal’s CONFIDENTIAL proposed business terms during the last Board Meeting. As the spouse of a former attorney, Roz Berman knows that business proposal information clearly marked as CONFIDENTIAL by Chef Neal could not be publicly discussed during the board meeting. Roz, Carl and Shirley have to know it was highly improper and illegal for them to breach Chef Neal’s confidentiality requirements without his written permission. It was also highly improper, if not illegal, for Roz’s (former attorney) spouse to quote the confidential information on his blog.

Regardless of the cause of board member failures, those individuals may have exposed this association to future litigation. Chef Neal is such a gentleman that I doubt he would consider taking legal action, but how could Chef Neal, or any other potential trumpets candidate trust the board with confidential business proposal information in the future?

In addition, what was RMI’s role in this breach of confidential information? Did Shirley and Roz share Chef Neal’s proposal with RMI to produce Shirley’s slides–even though it was clearly marked with “Confidential & Proprietary Business Proposal Data. No Releases to other Firms.” RMI is supposed to have the expertise to keep the board members from making such major breaches of business conduct. If we are going to be successful with concluding a trumpets agreement, such unprofessional conduct MUST NOT happen again.

Gross misconduct by Director/VP Carl Weinstein?

Look at how potentially dangerous the below quotes are that were taken from VP Weinstein’s emails and postings yesterday! “Two documents were submitted by the so-called Chef. One was a confidential introductory letter and the other SEPARATE document was his proposal and it was not marked confidential.

- AV Blog readers are asked to review the proposal in the above posting and see for themselves how wrong he is. “Neal: That’s what you get for listening to one board member and a bevy of womens’ club supporters who will NOT be the deciding factors in the selection of someone for our restaurant. Your proposal is terrible and so far from anything I forsee as being acceptable that I basically had ruled you out (Roz Berman has put me in charge of this project).

- AV Blog readers can see that Director Weinstein has openly insulted Chef Neal and his organization–as well as publicly denigrated all of the members of the SCA Women’s Club. He is out-of-control and he has proven he can not be trusted to fairly represent the SCA Board on important business matters.

After such gross misconduct, how can he be allowed to have anything to do with any SCA contract in the future?

I recall Carl’s statements from the last board meeting when his complained about “PREVIOUS” board’s inaction and laid the blame on the “PREVIOUS” board’s “micro-managing” every committee, and every project on the board’s agenda.

Now what are we treated to? The realization that CARL is “micro-managing” the Trumpets negotiations by telling Chef Neal; (“I basically had ruled you out - Roz Berman has put me in charge of this project ).” Why would he even say that to a legitimate restaurant operator BEFORE the selection process had begun?

Carl Weinstein said: “I never divulged Chef Neal’s proposal at the Board meeting and as far as my not initially giving you contact information for other proposals it is because I DONT TRUST YOU to keep information confidential. Two documents were submitted by the so-called Chef. One was a confidential introductory letter and the other SEPARATE document was his proposal and it was not marked confidential.”

Unfortunately, Carl’s lack of business experience (or something else) is clearly exposed. He fails to understand that as the board-designated lead for the trumpets project, he automatically shares in the responsibility for Shirley Cheri’s breach of confidentiality during the board meeting.

Neither Carl nor Roz Berman screened Shirley’s comments beforehand, and neither one attempted to stop Shirley from making and completing her mistake. Since both Carl and Roz have not hesitated in the past from rudely interrupting others whenever they choose, their inaction in this case is revealing!

Carl Weinstein admitted he knew that Chef Neal’s proposal was confidential, but now he wants us to believe he thought only the cover letter was protected? Ridiculous! See the following links to review the packages for yourself. And, while you are at it, look at the exceptional quality and obvious sincerity of Chef Neal’s proposals. It is no wonder that so many SCA members hold Neal Salvino in such high regard and are so upset at Carl’s unprofessional insults.

In addition, why would a MBA-trained businessman serving as a SCA director post something like “the so-called Chef”? Why would anyone make such a public slur? Carl Weinstein has no information for questioning Chef Neal’s credentials, and by publicly posting such an obnoxious denigration while serving as a Director, Carl may have damaged Chef Neal’s business reputation and exposed SCA to litigation. Why do we tolerate such misbehavior?

Many in the community often ask why the board appears to be so dysfunctional. After seeing this example of flawed thinking, misbehavior, and deception by Carl, Shirley, and Roz, perhaps some members will better understand why the board is in so much trouble in so many areas, and why I continue to insist that we must conduct a forensic audit to finally get on top of our finances?

Would you trust such people with managing your life savings? Of course not, but that is exactly what we are doing when we allow them to manage our many millions of dollars of community assets.

Dear Bob and Kay,

Please publish my comments on Chef Neal’s proposal.

I sincerely hope any and all applicants for our restaurant do not pre-judge us by the actions and words of some of our officers. Responding in such an unprofessional manner only hurts our chances to resolve this very important issue. We expect professional service from the applicants and we must give it in return.

I normally do not eat out very often, and so was not too concerned as to who was chosen to occupy our restaurant and bar. HOWEVER, after reading Chef Neal’s Proposal I was very impressed with his offer.

The insults made to Chef Neal by our present V.P. were childish, disgusting and uncalled for, in my opinion. Even though I have never tasted Chef Neal’s food, I would definitely support the restaurant based on his proposal to our community, and will be delighted to have him, if he is chosen. His proposal proved him to be a gentleman. (That is more than I can say for our V.P.)

Thank you both for what you do for our association and its members.
